The engagement sequence

From first contact to completed delivery.

Whether you are a buyer or a seller, the sequence is the same. What changes is the direction — VX247 works both sides of the transaction, never simultaneously on behalf of both.

01
Qualification
Verification before any contact — on multiple independent sources
Before a counterparty is ever contacted on your behalf, VX247 screens them against corporate registries, sector classifications, trade databases, and international sanctions lists. This happens in hours. Only then is operational fit assessed: commodity, volume, port, payment structure, timing. No offer, no commitment, no obligation at this stage on either side.
02
First contact
Terms exchanged — VX247 as relay only
VX247 relays commercial parameters between sides — FOB from the seller, target CIF from the buyer — without proposing its own figures or acting as negotiating party. This continues through as many rounds as needed until both positions genuinely converge. If they don't converge, the engagement ends here with no cost to either side.
03
Framework
Accordo Quadro — signable at any stage
The Accordo Quadro contains no specific transaction data — no price, no volume, no obligation to conclude any deal. Signing it is not a commercial commitment: it opens the working relationship between the counterparty and VX247, so that VX247 can start identifying matching opportunities and the counterparty can submit requests or offers. It is signed once and timestamped under the RFC 3161 (Request For Comments 3161) standard — and never needs updating. When a specific transaction moves forward, the seller signs a short LOE — Letter of Engagement (Lettera di Incarico) containing the relevant commercial terms and the engagement for that operation. The Accordo Quadro itself is never touched again — only the LOE changes with each new transaction.
04
Offer
Terms fixed in writing — before any identity is revealed
VX247 prepares a standardised FCO (Full Corporate Offer) template with the relevant transaction data already pre-filled from the exchange stage — the parties receive a document that is ready to sign, not a blank form to negotiate from scratch. The FCO is subject to the Sales and Purchase Agreement (SPA), so signing it does not itself conclude the transaction. VX247 then checks that the two offers are compatible.
05
Disclosure
Counterparty identities are exchanged
Identities are revealed only once each party has issued its FCO, the two offers have been checked for compatibility and, on the seller side, the LOE for that transaction has been signed. Before disclosure, each party also confirms its own Partner Profile, which is then shared with the counterparty. Prior to this point, all offers and analyses circulate without identifying either side.
06
Contracting
The parties sign their own commercial contract — VX247 is never a party
Buyer and seller sign their own Sales and Purchase Agreement (SPA), built on the neutral contract skeleton prepared by VX247. Commercial terms not in scope for VX247 (penalties, payment schedule details, force majeure, governing forum) are left for the parties or their own legal counsel to complete. VX247 never drafts bespoke contracts and never negotiates commercial terms.
07
Execution
The advisory fee settles automatically — built into the payment instrument
The advisory compensation is structured into the payment instrument (LC — Letter of Credit or equivalent) at the moment it opens — it moves at the same moment the commercial payment moves. GISANI S.R.L. issues its invoice only after actual receipt — never before. No advance payment is ever requested from either party at any stage of the engagement.
08
Continuity
The framework continues — no restart needed
Where the commercial contract provides for multiple shipments or a continuing supply relationship, the VX247 framework extends for the full duration with no new signing required. The same Accordo Quadro covers all subsequent operations with the same counterparty — the onboarding work is done once. VX247 remains alongside the parties through each shipment cycle: monitoring the commercial flow, supporting on payment instrument structure, and available for any subsequent operation that arises from the same relationship.
Standard framework

What every VX247 engagement includes.

These are not optional add-ons. They are applied to every engagement as standard — regardless of transaction value or commodity type. They reduce exposure and create documented accountability at every step. They do not eliminate commercial risk, which remains with the parties.

◈
Counterparty verification
Every counterparty is screened against international sanctions lists (OFAC, EU, UN) and subject to KYC (Know Your Customer) / AML (Anti-Money Laundering) documentary review before any disclosure. VX247 does not proceed with parties that do not pass this check.
◈
Legally binding non-circumvention framework
The Accordo Quadro (evergreen framework agreement) is signed before any identity is revealed. It covers affiliates, subsidiaries, and entities sharing the same ultimate beneficial ownership — a change of corporate name creates no loophole. The circumvention penalty is a fixed amount per metric tonne, enforceable under Italian jurisdiction (Messina), with no need to prove actual harm.
◈
Timestamped documentation
All signed engagement documents receive an RFC 3161 (Request For Comments 3161 — the internet standard for trusted timestamping) timestamp. This provides verifiable proof of when each document was signed — not just that it was signed.
◈
Fee structured into the payment instrument
The advisory compensation is structured into the LC (Letter of Credit) or equivalent payment instrument at the moment of opening — it moves at the same moment the commercial payment moves. GISANI S.R.L. issues its invoice only after actual receipt — never before.
◈
No advance payment, ever
VX247 never requests, and never accepts, any form of advance payment from either counterparty before the commercial payment milestones are met. The fee structure follows the natural payment schedule already in the commercial contract — it does not create a separate or earlier obligation.
◈
Ongoing commercial monitoring
For the full duration of the Accordo Quadro protection — the entire commercial relationship plus 24 months after the last shipment — VX247 periodically reviews public customs and AIS (Automatic Identification System) shipping data for the relevant counterparty pair and commodity corridor. An independent, continuous check: not reactive to complaints, always active.
The document framework

Each document has a specific function.

VX247 does not generate documents for their own sake. Each one performs a defined role in the protection and certification sequence. None is collected online — all are exchanged in writing after a qualified first contact.

Indicative Offer (IOB/IOS)
An anonymised statement of commercial intent — from the buyer or the seller — used by VX247 to initiate the terms-convergence process before any identity is disclosed. Not binding. It is the starting document for the FOB/target-CIF exchange that precedes the Accordo Quadro.
Accordo Quadro
An evergreen framework agreement between each party and GISANI S.R.L. governing non-circumvention, confidentiality, and the monitoring obligation. Contains no transaction-specific data — signed once per counterparty and never updated. For each specific transaction, the seller signs a short LOE — Letter of Engagement (Lettera di Incarico) with the relevant commercial terms; the buyer signs nothing additional. RFC 3161 timestamped.
Full Corporate Offer (FCO)
A pre-filled commercial offer prepared by VX247 from the terms already exchanged between parties. Can be sent together with or separately from the Accordo Quadro — the two documents are independent, and the Accordo Quadro can be signed at any stage, even before commercial terms are finalised. The FCO is subject to a Sales and Purchase Agreement (SPA), so signing it does not itself constitute an obligation to conclude the transaction.
Contract skeleton
A neutral structural template provided to the parties as a reference for their own commercial contract. It includes the protection clauses required by the VX247 framework. Commercial terms (price, penalties, payment schedule, delivery conditions) are left blank — they are entirely for the parties to negotiate, independently or with their own legal counsel.
For clarity

What VX247 is not.

  • A broker or commercial agent
  • A freight forwarder or logistics provider
  • A party to any commercial contract between buyer and seller
  • A guarantor of transaction outcomes
  • A substitute for your existing tax or accounting advisor
  • A source of financing or trade credit
  • A platform generating anonymous introductions

VX247 is a structured trade advisory — the role an experienced advisor plays for a company entering a new market: knows the path, reduces the margin for error, guides the decisions.

A significant saving of time and internal work. Sourcing a qualified counterparty, KYC/AML (Anti-Money Laundering) screening, preparing and exchanging the framework documents, managing the commercial terms exchange — VX247 handles all of this. Your team's time goes to the commercial relationship itself, not to the procedural work that precedes it.

Designed for speed — and continuous beyond the signing. The process is sequential and automated where the transaction allows. Once the framework is signed, VX247 stays alongside: monitoring the relationship, supporting on payment structuring for each shipment, and available for any new operation with the same counterparty — without starting over.

VX247 works alongside your commercialista, not in their place. Your tax and accounting advisor remains your fiscal reference point. VX247 brings the specific cross-border competencies — KYC/AML documentation, LC/SBLC (Letter of Credit / Standby Letter of Credit) structuring, Incoterms, CBAM compliance, customs classification — that a transaction needs, in coordination with the professional you already trust.

Every engagement is advised and invoiced through one corporate structure — GISANI S.R.L. — never through an individual. A single, accountable subject.
